Terms of Use

Operated by LoopSoup PTY LTD (ACN 692 027 811) located at Ground Floor, 10 Pulteney Street, Adelaide, SA, Australia 5000 (“we/us/our”) with the governing laws of the state of South Australia.

1. Acceptance

By accessing or signing up to LoopSoup or The Soup (the “Ecosystem” or “Platform”), you agree to the Terms laid out in this document and have read them alongside the privacy policy.

  • If you are using the Ecosystem for or on behalf of an organisation, you confirm that you are authorised to bind it.
  • If you are an AI Researcher or Developer using the Ecosystem as a contributor, you confirm your usage is in accordance with policies that may be applicable to you in your current roles or arrangements at other organisation(s) from time to time.

Should the above or any other information change, you agree to promptly update the information provided to LoopSoup Pty Ltd.

2. Roles

The Ecosystem supports two main roles:

  • Enterprise Customers or Enterprise — organisations that deploy Solutions and use outputs generated within the Ecosystem.
  • AI Researchers & developers — analyse data, develop and submit AI/ML models, workflows, or related deliverables (“Solutions”).

Role-specific obligations apply in Sections 6-7.

3. Accounts and security

You must provide accurate information, safeguard credentials, and notify us of unauthorised use. We may suspend accounts to protect the integrity of the Ecosystem.

4. The Soup may from time to time provide

  • Tooling to build, test, and submit Solutions,
  • Deployment and monitoring infrastructure for enterprises,
  • Telemetry collection and analytics dashboards,
  • Controlled data access pathways for research.

We may change or discontinue features, with reasonable notice where practicable.

5. Your content, Solutions, and data rights

5.1 Ownership

You keep ownership of your pre-existing Intellectual property and all proprietary data sets provided or exchanged to enable creation of a solution (“User Content”).

Solutions created for the Enterprises are licensed to them for use and owned by the Ecosystem operator.

5.2 License you grant to us

You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, run, reproduce, adapt, and analyse User Content and Solutions to:

  • Operate, secure, and support the Ecosystem,
  • Deploy Solutions for Enterprise Customers (as authorised),
  • Perform QA, benchmarking, and reliability testing,
  • Generate aggregated or de-identified insights, and
  • Learn, train, and optimise the Ecosystem and Solutions.

Improvement activities may include use of telemetry, de-identified data, and aggregates whenever practicable. Please avoid any personal information. If identifiable personal information is unavoidable in the data set, please notify the operator and refer to the privacy policy.

5.3 License we grant to enterprises

Enterprise Customers are granted a license to:

  • Deploy and use the Solution in production,
  • Evaluate it internally, and
  • Reproduce/modify it only as needed for integration and safe operation, unless a separate commercial license says otherwise.

6. AI researchers & developers' obligations

AI researchers and developers agree to:

  • Ensure Solutions are original or properly licensed,
  • Ensure no malicious code, hidden data extraction, or unauthorised logging is included or used advertently or inadvertently,
  • Document intended use, limits, and known failure modes,
  • Avoid training on unlawfully obtained data,
  • Comply with laws in their jurisdiction and ours.
  • Obtain all required ethics approvals and consents,
  • Use data only for approved purposes,
  • Keep data secure and confidential,
  • Do not attempt to re-identify de-identified data,
  • Publish results only in aggregate unless we explicitly approve otherwise,
  • Use third-party code/data licenses, training sources only as authorized or licensed,
  • Do not use personal data in training unless lawful and disclosed,
  • Provide authentic, correct and up to date information for verification and provide updated information as and when there are any changes and provide updated information when requested by the Ecosystem/Platform operator,
  • Use secure compute environment if accessing anything beyond public aggregates,
  • Ensure your usage of this Ecosystem complies with policies that may be applicable to you in your current roles or arrangements at other organisation(s) from time to time,
  • Ensure all interactions regarding the projects are conducted on the Ecosystem/Platform and do not engage in discussions, contracts or proposals outside of the Ecosystem/Platform.

We may require a separate Data Use Agreement for specific studies.

7. Enterprise Customer obligations

Enterprise Customers agree to:

  • Use Solutions lawfully and responsibly,
  • Operate human-in-the-loop oversight when required by context, risk, or law,
  • Ensure any telemetry they send to us is lawful to disclose and does not include unnecessary personal information,
  • Configure integrations to minimise personal data where possible.
  • Users from your organisation using the Ecosystem are authorised to represent the organisation, make contractual decisions and have access to the information and the Ecosystem on behalf of the organisation or have obtained relevant internal approvals enabling them to do so (as applicable).
  • Ensure all interactions regarding the projects are conducted on the Ecosystem/Platform and do not engage in discussions, contracts or proposals outside of the Ecosystem/Platform.

8. Acceptable use

You must not:

  • Break laws or infringe rights,
  • Attempt unauthorised access, scraping, or reverse engineering (except as allowed by law), re-identify data,
  • Deploy Solutions to make solely automated high-stakes decisions about individuals without safeguards,
  • Upload harmful, misleading, or illegal content.

9. Fees and payments (if applicable)

Fees, billing terms, and taxes are described in the agreed customer contract(s). Payments to AI researchers & developers (if any) are governed by a contributor agreement(s).

10. Consumer law notice

Nothing in these Terms excludes non-excludable rights under the Australian Consumer Law, including consumer guarantees where they apply.

11. Disclaimers

The Ecosystem/Platform and Solutions are provided “as is” and “as available.” We don’t guarantee that Solutions will be error-free, fit for a particular use, or meet regulatory needs in every jurisdiction. Enterprise customers should ensure the solutions they are exploring meet their relevant legal and regulatory obligations.

12. Limitation of liability

To the maximum extent allowed by law:

  • We are not liable for indirect or consequential loss,
  • We are not liable for any interactions regarding the projects, contracts or proposals undertaken outside of the Ecosystem/Platform or those not in accordance with these Terms of Use.
  • Our total liability is capped at the fees you paid us in the 12 months prior to the event (or AUD $100 if none).

13. Indemnity

You indemnify us for losses arising from your breach of these Terms, unlawful acts, or IP infringement.

14. International access

Users may access the Ecosystem/Platform from across the world. You must comply with applicable export controls, sanctions, and local laws.

15. Termination

You may stop using the Ecosystem/Platform anytime. We may suspend/terminate the rights of use or contracts/agreements for breach, risk (existing, potential or perceived), or legal requirement. Licenses for content already incorporated into Ecosystem/Platform, solutions for delivery of projects, improvements, monitoring and learning or other such usage by LoopSoup PTY LTD survive termination.

16. Changes

We may update these Terms and notify users of material changes. Continued use means acceptance.

17. Governing law

These Terms are governed by South Australian law. Courts in South Australia have exclusive jurisdiction.
